The Nomination and Remuneration Committee (NRC) of Asdion Berhad is committed to ensuring effective governance in the selection, appointment, and remuneration of the Board of Directors and key management personnel, in line with the Malaysian Code on Corporate Governance and the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad.
The NRC comprises exclusively Independent Non-Executive Directors, ensuring impartiality and objectivity in its deliberations. The NRC is tasked with overseeing the nomination and remuneration processes to support the strategic objectives of Asdion Berhad. Its primary responsibilities include:
- Evaluating and recommending candidates for Board and key management positions, ensuring a diverse and skilled leadership team capable of driving the Group's logistics, commodity trading, and property development businesses.
- Assessing the performance and effectiveness of the Board, its committees, and individual directors to ensure alignment with the Group’s goals.
- Reviewing and recommending remuneration packages for directors and key management personnel, ensuring they are competitive, fair, and reflective of their contributions and responsibilities.
- Ensuring transparency and fairness in the nomination and remuneration processes, adhering to best practices in corporate governance.
